• Use the service to commit tax fraud, securities fraud, or any other unlawful act.
• Reverse-engineer, scrape, or automate access beyond normal use.
• Use the service in any way that violates applicable law.

Violations may result in immediate suspension or termination without refund.

READ THIS SECTION CAREFULLY — IT LIMITS WIZELIFE'S LIABILITY TO YOU.

To the maximum extent permitted by applicable law:

• The service, including all AI outputs, is provided "AS IS" and "AS AVAILABLE", with all faults, errors, and inaccuracies, and without any warranty of any kind — whether express, implied, statutory, or otherwise — including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, currency, reliability, or freedom from AI "hallucinations".
• WizeLife, its operators, employees, contractors, affiliates, and suppliers shall NOT be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages — including but not limited to: loss of profits or revenue, loss of data, loss of investment or trading value, market losses, foregone savings, foregone returns, missed opportunities, medical injury, physical or emotional harm, tax penalties, regulatory fines, professional fees, or any other loss — arising from (a) your use of or inability to use the service, (b) reliance on AI output, (c) any decision you took based on the service, (d) third-party content, service outage, or vendor failure (Firebase, Render, Vercel, Cloudflare, Anthropic, Google, OpenRouter, Tavily, Resend, etc.).
• This limitation applies even if WizeLife was advised of the possibility of such damages, even if a remedy fails of its essential purpose, and regardless of the theory of liability (contract, tort, strict liability, statute, or otherwise).
• Aggregate liability cap. Our total cumulative liability to you for all claims arising from the service in any 12-month period shall not exceed the greater of: (a) the total amount you actually paid to WizeLife in the 12 months preceding the event, or (b) NIS 100 for free-tier users. This cap is the entire and exclusive remedy.
• Per-domain carve-outs. You acknowledge sole responsibility, and WizeLife disclaims all liability arising from: tax-filing or tax-planning decisions (WizeTax/WizeMoney); investment, trading, or portfolio decisions (WizeMoney); medical, diagnostic, treatment, or medication decisions (WizeHealth); real-estate purchase, sale, rental, financing, or zoning decisions (WizeDeal); travel booking, visa, or trip-planning decisions (WizeTravel).
• Jurisdictional limits. Some jurisdictions do not allow the exclusion or limitation of certain damages (e.g. for gross negligence, wilful misconduct, fraud, death, or personal injury). In such jurisdictions, our liability is limited to the smallest extent permitted by that law, and the remainder of this section continues in full force.

11. Indemnification

You agree to defend, indemnify, and hold harmless WizeLife, its founders, operators, employees, contractors, affiliates, licensors, and suppliers (the "Indemnified Parties") from any and all claims, demands, actions, proceedings, damages, losses, liabilities, judgements, settlements, costs, and expenses (including reasonable attorneys' fees, court costs, and expert witness fees) arising out of or related to:

• Your access to or use of the service or any AI output;
• Any decision, transaction, filing, treatment, purchase, sale, or other action you (or anyone on your behalf) took or failed to take in reliance on the service;
• Your breach of these Terms, breach of applicable law, or violation of any third-party right (including intellectual property, privacy, or contract rights);
• Content you entered, transmitted, or stored on the service;
• Tax, regulatory, securities, medical, real-estate, or other professional outcomes arising from information on WizeLife — including tax audits, ITA / IRS penalties, securities-authority investigations, medical-malpractice claims, real-estate brokerage licensing disputes, and consumer-protection complaints;
• Sharing your account, circumventing usage limits, or providing false information about eligibility.

WizeLife reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you — in which case you agree to cooperate. You will not settle any matter involving an Indemnified Party without WizeLife's prior written consent.

11A. Assumption of Risk & Sophisticated User

By using WizeLife, you represent and warrant that:

• You understand that AI models can produce inaccurate, incomplete, biased, or fabricated information ("hallucinations"), and you agree to verify every material output with a licensed professional before relying upon it.
• You are using the service voluntarily and at your sole risk.
• You have the legal capacity and authority to enter into these Terms and to bear the consequences of any decision you take based on the service.
• If you use the service in a regulated professional capacity (advising clients, filing on behalf of others, fiduciary decisions), you confirm that you hold all required licences, and that WizeLife output serves only as a research aid — not a substitute for your independent professional judgement.

12. Dispute Resolution & Arbitration

Any dispute arising from or related to these Terms or your use of WizeLife shall be resolved as follows:

1. Informal resolution first: Email hi@wizelife.ai describing the issue. We will attempt to resolve it within 30 days.
2. Binding arbitration: If informal resolution fails, the dispute will be resolved by binding arbitration in Israel under the Israeli Arbitration Law (Arbitration Law, 5728-1968), conducted in Hebrew or English, by a single arbitrator selected by mutual agreement (or, failing agreement, by the Israel Bar Association).
3. Governing law: These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles.
4. Class-action waiver: You agree to bring any claim solely in your individual capacity and not as part of a class or representative action.

13. Force Majeure

WizeLife is not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to: outages of third-party services (Firebase, Render, Vercel, Cloudflare, Tavily, Google AI), acts of war, civil unrest, natural disasters, pandemics, or government action.

14. Intellectual Property

WizeLife's code, design, brand, and AI prompts are the property of WizeLife. Content you enter into the tools (your portfolio, health records, deals) remains yours. You grant us a limited, non-exclusive, royalty-free licence to process that content solely for the purpose of delivering the service to you.

15. Termination

We may suspend or terminate your access at any time for material breach of these Terms. You may cancel at any time from your dashboard. Upon termination:

• Your account is deactivated immediately.
• Your personal data is deleted within 30 days.
• Sections relating to liability, indemnification, dispute resolution, and intellectual property survive termination.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email and a banner on the site. Continued use after changes constitutes acceptance.

17. Severability

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
